TERMS & CONDITIONS FOR USE OF DIGITAL MEDIA

# Terms and Conditions for Digital Media

## 1. Agreement Overview

These Terms and Conditions govern the licensing of photographs, digital logos, video media (“digital media") provided by Zenix Optical Inc.  to the client ("Licensee") for use on social media and other platforms. By adhering to the brand guidelines outlined in the provided folder, the Licensee agrees to the terms set forth herein.

## 2. License Grant

Upon payment and compliance with these terms, the Licensor grants the Licensee a non-exclusive, non-transferable license to use the Digital Media for the following purposes:

- Social media posts and advertisements

- Website content

- Digital marketing materials

## 3. Brand Guidelines

The Licensee agrees to adhere to the brand guidelines as specified in the provided folder. Any deviation from these guidelines may result in the termination of the license.

## 4. Usage Restrictions

The Licensee agrees not to:

- Alter the Digital Media in a manner that misrepresents the brand or the context in which the Digital Media was created.

- Use the Digital Media for any illegal, defamatory, or unethical purposes.

- Share, sell, or sublicense the Digital Media to third parties without prior written consent from the Licensor.

## 5. Attribution

If required by the Licensor, the Licensee shall provide proper credit to the Licensor when using the Digital Media on social media or other platforms.

## 6. Termination

The Licensor reserves the right to terminate this agreement if the Licensee fails to comply with any of the terms outlined herein. Upon termination, the Licensee must cease all use of the Images.

## 7. Indemnification

The Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, or liabilities arising from the Licensee’s use of the Digital Media.

## 8. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Barbados, WI.

## 9. Amendments

The Licensor reserves the right to amend, change, or delete these Terms and Conditions at any time. Any changes will be communicated to the Licensee, and continued use of any media will signify acceptance of the revised terms. By using any of the media, the Licensee agrees to be bound by these Terms and Conditions.
